5. Intellectual Property Rights

All content, design elements, code, documentation, and materials created by FOE CONTRACTING LLC as part of our services remain our intellectual property until full payment has been received. Upon full payment, we grant the client a perpetual, non-exclusive, worldwide license to use the deliverables for their intended purpose. We retain the right to display completed projects in our portfolio unless otherwise agreed in writing. You may not reproduce, distribute, modify, or create derivative works of our website content without our prior written consent.

6. Client Responsibilities

You agree to provide timely access to necessary information, systems, and personnel required for the completion of our services. You agree to review and provide feedback on deliverables within the timeframes specified in your service agreement. Delays caused by client unresponsiveness or failure to provide required materials may result in timeline adjustments and additional costs. You are responsible for maintaining the confidentiality of any access credentials provided to you and for all activities that occur under your account.

7. Fees and Payment

Fees for services will be outlined in individual proposals, statements of work, or master service agreements. Unless otherwise agreed, payments are due within thirty days of invoice date. Late payments may incur interest at a rate of 1.5 percent per month or the maximum rate allowed by law, whichever is lower. We reserve the right to suspend services for accounts that are more than thirty days past due. All fees are in United States dollars and are non-refundable except as expressly stated in your service agreement. Any applicable taxes are the responsibility of the client.

8. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information shared during the course of the engagement. Confidential information includes but is not limited to business strategies, technical specifications, financial data, customer information, and proprietary methodologies. This obligation survives the termination of our agreement for a period of five years. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, information already in the receiving partys possession, or information independently developed by the receiving party.

9. Limitation of Liability

To the maximum extent permitted by applicable law, FOE CONTRACTING LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with these terms or the use of our services. Our total liability for any claim arising from these terms or our services shall not exceed the total amount paid by you for the specific service giving rise to the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, or otherwise.

We do not warrant that our services will be uninterrupted, error-free, or secure. We make every effort to deliver high-quality work, but we cannot guarantee that our solutions will meet all of your expectations or that they will be compatible with all third-party systems you may use.

11. Indemnification

You agree to indemnify, defend, and hold harmless FOE CONTRACTING LLC, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of our website or services, your violation of these terms, or your violation of any third-party rights. We may terminate or suspend your access to our website at any time, without prior notice, for conduct that we believe violates these terms or is harmful to other users or to us.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our services shall be resolved exclusively in the state or federal courts located in Utah County, Utah. You consent to the personal jurisdiction of these courts and waive any objection based on improper venue or forum non conveniens. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.
